TERMS OF USE AGREEMENT

9.  Governing Law
In case of any dispute or controversy arising from this agreement, the dispute or controversy shall be decided as though this Agreement were executed in Kansas City, Missouri without regard to conflict of law principles.  Any suit or other proceedings arising from this agreement must be brought within one year of when the cause or action or cause for complaint arose, or else the cause shall be forever waived and barred.  All proceedings shall be brought in Kansas City, Missouri.  You expressly consent to the exclusive jurisdiction of courts or arbitration in Kansas City, Missouri, and you consent to extra-territorial service of process.  If this Agreement conflicts or is inconsistent with other terms or information available from the site, this Agreement shall take precedence.  

In the event of any dispute or controversy, you agree that the matter shall be decided by binding arbitration under the rules of the American Arbitration Association, and the arbitrator shall be required to give a reasoned award.  Notwithstanding the above language, we shall have the right to pursue a lawsuit in court to protect its intellectual property.
